What is a Diversity Pass-Through?

A diversity pass-through is a deceptive practice in which a company collaborates with a diversity-certified business on paper — but does not engage in a genuine, value-adding business relationship. The diversity-certified business is used as a conduit to route money or contracts through, allowing the non-diverse company to fraudulently claim diversity spend credit it hasn't legitimately earned.

In a typical pass-through, the diversity business receives a purchase order, immediately forwards it to a non-diverse supplier, and pockets a small margin — without adding any real value to the buyer or the transaction. The buyer believes they're achieving their diversity goals; in reality, they're enabling fraud.

Signs of a Potential Pass-Through Arrangement
