By accessing or using Provision Connect's platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and Provision Connect.

2. Service Description

Provision Connect provides a cloud-based procurement platform that includes:

• E-procurement and e-commerce tools
• Supplier and buyer connectivity

• Catalog hosting and punchout services
• Integration with ERP and accounting systems
• Reporting and analytics

3. Account Registration and Security

Account Creation

To use our Services, you must create an account and provide accurate, complete information. You agree to:

• Provide truthful and accurate registration information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access

Account Responsibility

You are responsible for all activity that occurs under your account. You agree not to share your account credentials or allow others to use your account.

Business Accounts

If you're using our Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

4. Acceptable Use

Automatic Renewal

Your subscription will automatically renew unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

We may change our fees with 30 days' notice. Continued use of the Services after a price change constitutes acceptance.

6. Intellectual Property

The Services, including all software, content, trademarks, and materials, are owned by Provision Connect and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

You retain ownership of content you upload to our Services ("Your Content"). By uploading content, you grant us a license to use, store, and display it as necessary to provide the Services.

Feedback

If you provide feedback or suggestions about our Services, we may use them without any obligation to you.

7. Third-Party Services

Our Services may integrate with third-party services (suppliers, ERPs, payment processors). Your use of third-party services is subject to their terms and conditions. We are not responsible for third-party services or their availability.

8. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Services, you consent to our privacy practices.

Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of Your Content.

Data Security

We implement reasonable security measures, but cannot guarantee absolute security. You use the Services at your own risk.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Services may be unavailable due to:

• Scheduled maintenance
• Emergency repairs
• Third-party service outages
• Forces beyond our control

We will provide reasonable notice of scheduled maintenance when possible.

10. Termination

By You

You may terminate your account at any time through your account settings or by contacting us. Termination does not relieve you of payment obligations for the current billing period.

By Us

We may suspend or terminate your access to the Services if:

• You fail to pay fees when due
• Your use poses security or legal risks
• We cease providing the Services

Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete Your Content after a reasonable period unless retention is required by law.

11. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including:

• Error-free or uninterrupted operation

Some jurisdictions do not allow disclaimer of implied warranties, so some disclaimers may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Provision Connect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from:

• Your use or inability to use the Services
• Unauthorized access to your data
• Errors or interruptions in the Services
• Third-party content or services

Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Provision Connect from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your Content
• Your use of the Services

14. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions.

Entire Agreement

If any provision is found unenforceable, the remaining provisions will remain in full effect.

Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment
